Effective upon purchase, lease, or subscription of any product, service, or software from Orion Holding Group LLC., D.B.A. Trading Scalper.
By purchasing, downloading, installing, or using any Orion Holding Group LLC., D.B.A. Trading Scalper software, products, courses, trainings, indicators, strategies, software tools, services or educational content (collectively, the “Products”), the user hereby acknowledges that it is for personal, educational, and non-commercial use only. By purchasing, subscribing to, or using any Product, service, or software from Orion Holding Group LLC., D.B.A. Trading Scalper, you agree to be bound by these Terms and Conditions in their entirety.
PROHIBITED USES: You may not use any Orion Holding Group LLC., D.B.A. Trading Scalper product or service in any commercial capacity whatsoever. You may not broadcast signals, signal results, course content, or any proprietary information to other parties, whether for free or for payment. You may not reproduce, distribute, or share any media—including print, digital, video, audio, or any other format—in any way, for free or for profit.
ELECTRONIC ACCEPTANCE: You agree that checking a box, clicking “Accept,” or completing a transaction constitutes a valid electronic signature. This satisfies all legal requirements that an agreement be in writing or signed manually.
Trading futures, forex, and equities involves substantial risk of loss and is not suitable for every investor. The majority of individual traders lose money. Trading is highly speculative, and you should only trade with “risk capital”—money that, if lost, will not jeopardize your financial security or lifestyle. You acknowledge that you may lose your entire investment or more. You accept sole and full responsibility for all trading decisions, profits, and losses resulting from the use of our Products.
This License Agreement (“Agreement”) is by and between the purchaser (“Licensee”) and Orion Holding Group LLC., D.B.A. Trading Scalper (“Licensor”).
Subject to the terms and conditions of this Agreement, Orion Holding Group LLC., D.B.A. Trading Scalper grants to Licensee a non-exclusive, non-transferable license to use the final compiled and executable version of the Product. Licensee may use Product in executable format for personal and non-commercial use only. Licensee may not transfer, sublicense, distribute, or share the executable Software or source code to any third party, in whole or in part, in any form, whether modified or unmodified.
The license granted hereunder shall continue unless and until terminated pursuant to Section 3.3 and subject to Licensee’s proper performance of its obligations hereunder.
Orion Holding Group LLC., D.B.A. Trading Scalper may terminate this Agreement if Licensee is in default of any terms and conditions and fails to correct such default within seven (7) days after written notice from Orion Holding Group LLC., D.B.A. Trading Scalper.
Software is provided by Orion Holding Group LLC., D.B.A. Trading Scalper “as is” and any express or implied warranties, including but not limited to the implied warranties of merchantability and fitness for a particular purpose, are disclaimed. Trading Scalper does not warrant that software operation will be uninterrupted, error-free, or compatible with all brokerage platforms.
Orion Holding Group LLC., D.B.A. Trading Scalper’s liability to Licensee under any provisions of this Agreement for damages finally awarded shall be limited to the amounts actually paid by Licensee to Orion Holding Group LLC., D.B.A. Trading Scalper. To the maximum extent permitted by law, Trading Scalper and its affiliates shall not be liable for any indirect, incidental, special, exemplary, or consequential damages (including but not limited to procurement of substitute goods or services; loss of use, data, or profits; or business interruption) however caused and on any theory of liability, whether in contract, strict liability, or tort (including negligence or otherwise) arising in any way out of the use of Software, even if advised of the possibility of such damage. Our total cumulative liability shall not exceed the amount you paid to the Company in the twelve (12) months preceding the claim.
Licensee understands that Orion Holding Group LLC., D.B.A. Trading Scalper is subject to regulation by agencies of the U.S. Government, including the U.S. Departments of Commerce and State, which prohibit export or diversion of certain technical products to certain countries. Licensee warrants compliance with all export and re-export restrictions and agrees to indemnify and hold Orion Holding Group LLC., D.B.A. Trading Scalper harmless from any loss, damages, liability, or expenses incurred as a result of Licensee’s failure to comply with any export regulations or restrictions.
Orion Holding Group LLC., D.B.A. Trading Scalper offers training courses and support services designed for the sole purpose to educate Licensee – about trading techniques (“Training”). All Products and content provided by Orion Holding Group LLC, D.B.A. Trading Scalper are for educational, informational and entertainment purposes only. The Company is not registered as an investment adviser with the U.S. Securities and Exchange Commission (SEC), is not a registered Commodity Trading Advisor (CTA) with the Commodity Futures Trading Commission (CFTC), and is not a member of FINRA. Nothing provided by the Company constitutes personalized investment, financial, tax, or legal advice. No communication from the Company should be construed as a solicitation to buy or sell any financial instrument. Licensee acknowledges that all materials constitute Orion Holding Group LLC., D.B.A. Trading Scalper’s Proprietary Information.
“Lifetime License” refers to a one-time payment model for a specific Product version, granting access for the commercial life of that Product as determined by the Company’s sole discretion. It is not a guarantee of perpetual updates or compatibility with third-party platforms. Any future Product versions, updates, upgrades or changes may require additional cost to the Licensee.
Licensee agrees to hold in strict confidence all Proprietary Information; use Proprietary Information only for purposes of Training and educational purpose; not disclose Proprietary Information to third parties; and not photocopy, scan, reproduce, or replicate Proprietary Information for any third party.
Orion Holding Group LLC., D.B.A. Trading Scalper makes no representation or warranty as to accuracy or completeness of Proprietary Information or Licensee’s ability to profit. Past performance is not indicative of future results. No representation is being made that any account will or is likely to achieve profits or losses similar to those shown in any video, testimonial, or marketing material.
Neither Orion Holding Group LLC., D.B.A. Trading Scalper, nor any associated person, is a registered investment advisor, broker-dealer, or commodity trading advisor. All materials are for educational, informational and entertainment purposes only.
This Agreement shall be governed by the laws of the State of Florida (as per primary document) or Florida (as per supplemental terms). Any and all disputes, claims, or controversies shall be resolved exclusively through binding arbitration managed by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Before formal arbitration, the parties agree to attempt an informal resolution in good faith for a period of at least sixty (60) days following written notice of the claim.
WAIVER OF CLASS ACTIONS AND JURY TRIAL: By purchasing or using the products, you voluntarily waive the right to a trial by jury and the right to participate in any class-action lawsuit, collective action, or representative arbitration. In the event of coordinated “mass filings” (25 or more similar demands), the AAA’s supplementary rules for multiple case filings shall apply.
Software products are designed to operate on Third-Party Platforms (e.g., NinjaTrader, TradingView). Orion Holding Group LLC., D.B.A. Trading Scalper does not own or control these platforms and cannot guarantee continued compatibility. A “Platform Change” (e.g., fees, technical updates, or service termination by the provider) may affect Product functionality. In such events, the Company may migrate the Product, modify the Product, or terminate access. If access is terminated without a replacement platform, your exclusive remedy is a pro-rated refund or credit based on a 12-month straight-line depreciation from the date of purchase. Otherwise, no refunds or credits will be provided for Software that becomes inoperable due to Third-Party Platform changes.
DEFINITION OF “LIFETIME”: The term refers exclusively to the operational lifespan of the Software as made available on the Third-Party Platform(s) for which it is designed. Orion Holding Group LLC D.B.A. Trading Scalper does not control or retain any influence over Third-Party Platform(s) and the manner in which they operate, provide access to, or authorize usage of their Platform(s).
Due to differences in software languages and architectures, it is technically impossible to replicate identical functionality and behavior across all platforms. Users acknowledge and accept these platform-based differences.
The software is strictly limited to a single download. Attempts to duplicate or tamper with the code may trigger self-degradation programs or security – measures. We are not responsible for technical malfunctions, internet outages, data feed errors, or brokerage execution failures. You are solely responsible for verifying the accuracy of all trade entries and exits.
Options trading involve substantial risk and are not suitable for all investors. Prior to trading options, investors must receive a copy of “Characteristics and Risks of Standardized Options” (OCC).
HYPOTHETICAL OR SIMULATED PERFORMANCE RESULTS HAVE CERTAIN INHERENT LIMITATIONS. UNLIKE AN ACTUAL PERFORMANCE RECORD, SIMULATED RESULTS DO NOT REPRESENT ACTUAL TRADING. ALSO, SINCE THE TRADES HAVE NOT ACTUALLY BEEN EXECUTED, THE RESULTS MAY HAVE UNDER- OR OVER-COMPENSATED FOR THE IMPACT, IF ANY, OF CERTAIN MARKET FACTORS, SUCH AS LACK OF LIQUIDITY. SIMULATED TRADING PROGRAMS IN GENERAL ARE ALSO SUBJECT TO THE FACT THAT THEY ARE DESIGNED WITH THE BENEFIT OF HINDSIGHT. No representation is being made that any account will or is likely to achieve profits or losses similar to those shown.
ABUSIVE BEHAVIOR: Orion Holding Group LLC., D.B.A. Trading Scalper maintains a zero-tolerance policy for abusive, vulgar, and threatening behavior. Such conduct will result in immediate termination of Licensee usage or access to any Licensor Product, website, chatroom or educational platform.
CANCELLATIONS: Cancellations may take effect immediately and without notice. Remaining time in a subscription period will be forfeited, and access to all Products, website, chatroom or education platform will be removed. Licensee will not be entitled to any refunds or credits due to such behavior.
Due to the digital nature of our Products and the immediate delivery of intellectual property, all sales are final. By completing your purchase, you agree that no refunds will be issued for any reason, including dissatisfaction with Product performance, individual trading results, or personal expectations. You agree not to initiate any credit card chargebacks or payment disputes. Access to digital content or software licenses constitutes full delivery of the Product. Any exceptions to this policy are limited strictly to those described in the “Third-Party Platforms” section above.
Any shared trading ideas or concepts shall be considered a non-exclusive royalty-free contribution. You grant Orion Holding Group LLC., D.B.A. Trading Scalper a perpetual license to use, reproduce, and commercialize such content without compensation. Formal communications to the Company must be directed to [email protected].
You agree to indemnify and hold harmless Orion Holding Group LLC and its representatives from any claims or expenses arising from your use of the Products or your trading activities. Licensee warrants compliance with all export restrictions and agrees to indemnify the Company from any loss resulting from failure to comply.
To the fullest extent permitted by law, Orion Holding Group LLC., D.B.A. Trading Scalper shall not be liable for any direct, indirect, or consequential damages. Orion Holding Group LLC., D.B.A. Trading Scalper’s total liability shall not exceed the amounts actually paid by the user.
AMENDMENTS: The Company reserves the right to modify these Terms and Conditions at any time. Changes become effective thirty (30) days after publication (or immediately if necessitated by law). Continued use constitutes acceptance.
SEVERABILITY: If any part of this Agreement is deemed invalid, that specific provision shall be limited or removed to the minimum extent necessary, while all other sections remain in full effect.
ASSIGNMENT: You may not transfer your rights without express written approval. The Company may assign this Agreement freely.
ENTIRE AGREEMENT: This document constitutes the entire agreement. You acknowledge that you have not relied on any representations, guarantees, or projections of income not expressly contained in this Agreement.
ACKNOWLEDGMENT OF ACCEPTANCE: BY PURCHASING OR USING ANY PRODUCT FROM ORION HOLDING GROUP LLC., D.B.A. TRADING SCALPER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY ALL TERMS SET FORTH HEREIN.
